Requirements
- Juris Doctor (J.D.) degree from an accredited law school and active bar membership in good standing.
- 12+ years of legal experience, ideally combining both law firm and in-house corporate legal expertise.
- Deep knowledge of corporate governance, securities law, SEC reporting, and mergers and acquisitions.
- Strong experience advising publicly traded companies on governance and regulatory compliance matters.
- Proven ability to lead complex transactions and provide strategic legal counsel to senior executives and Boards of Directors.
- Expertise in due diligence, negotiation, transaction structuring, and drafting sophisticated legal documentation.
- Strong business judgment with the ability to translate legal complexity into practical, business-focused guidance.
- Excellent communication, leadership, and stakeholder management skills.
Responsibilities
- Lead all aspects of corporate governance, including Board and committee support, governance policies, corporate records, and compliance.
- Advise executive leadership and Board members on fiduciary duties, governance trends, and evolving regulatory requirements.
- Oversee securities law compliance, SEC reporting obligations, disclosure practices, and insider trading policies.
- Partner closely with Finance and leadership teams on investor communications, public disclosures, and corporate reporting processes.
- Direct legal strategy and execution for mergers, acquisitions, divestitures, joint ventures, and strategic investments.
- Coordinate cross-functional teams and external legal counsel to support transaction execution and post-merger integration.
- Build and mentor a high-performing legal team.
- Manage outside counsel relationships, legal budgets, and complex legal projects.
