Commercial Counsel

6-8 years of substantive commercial transactions experience, primarily in-house at a SaaS technology company Expertise in drafting and negotiating SaaS Subscription Agreements, Services Agreements, Data Processing Agreements, vendor agreements, and technology partnership agreements Significant experience with privacy and data protection laws and regulations (TCPA, CAN-SPAM, US state privacy laws like CCPA/CPRA) Understanding of AI governance frameworks, ethical AI principles, and IP issues related to AI Experience collaborating with cross-functional teams (Sales, Deal Desk/Finance, Security) Ability to provide clear, concise, and actionable legal guidance to non-attorney stakeholders Exceptional written, verbal, and interpersonal communication skills in English License to practice law in at least one State in the US Strong track record of performance in demanding, high-growth environments Strong organizational, project management, and execution skills Experience with AI tools or eagerness to learn

Negotiate revenue-generating SaaS customer contracts and data privacy agreements Address customer questions on privacy, security, and AI compliance Advise on business impact of North American laws and regulations, especially data privacy and AI Create and refine templates, policies, and processes for the Legal team Negotiate vendor agreements, partnership agreements, and other commercial contracts Assist Go-to-Market teams with training on contracts and data privacy policies Develop relationships with North America leadership and global business partners Support strategic projects for the Legal team
