Requirements
- Hold a JD from an accredited U.S. law school.
- Be a member in good standing with a state bar.
- Have 8+ years of relevant experience.
- Bring a strong background in commercial technology contracting, including SaaS, licensing, and channel partner agreements.
- Manage competing priorities and work independently in a fast-paced environment.
- Demonstrate negotiation, communication, and presentation skills.
- Law firm and in-house experience is preferred.
- Federal government contracting experience, including FAR/DFARS and GSA schedules, is preferred.
- Exposure to data privacy, employment law, and general corporate compliance is preferred.
- Experience working with global or international teams and jurisdictions is preferred.
Responsibilities
- Own end-to-end contract lifecycle management for commercial and federal customer, vendor, and channel partner agreements.
- Partner with other departments to structure and close deals.
- Maintain and improve template agreements, contract playbooks, negotiation processes, and sales process documentation.
- Review, draft, and negotiate technology transactions, including SaaS and software license transactions, vendor and procurement contracts, channel partner contracts, teaming agreements, and non-disclosure agreements.
- Support federal contracting matters, including FAR/DFARS compliance, GSA schedule contracts, commercial item determinations, intellectual property issues, and government flow-downs.
- Provide contract and commercial advice to business teams.
- Advise on data privacy compliance and use of customer data.
- Support employment law matters across U.S. and international jurisdictions.
- Assist with corporate compliance, entity management, governance, and intellectual property matters.
