- Have 5+ years of relevant experience at a law firm or in-house, focused on M&A and corporate transactions.
- Have a track record of independently running deal workstreams.
- Be licensed in a US state.
- Bring strong organizational and process management skills.
- Apply sound business judgment and attention to detail to legal and business problems.
- Find practical and creative solutions to legal and business problems.
- Demonstrate integrity, professionalism, intellectual curiosity, and willingness to grow.
Responsibilities
- Lead and support mergers, acquisitions, joint ventures, investments, warrants, and other corporate transactions through all stages of the transaction lifecycle.
- Assess potential targets and support deal structuring, due diligence, negotiation, and deal execution.
- Advise senior management and other internal stakeholders on M&A strategy, risk management, and execution.
- Draft, review, and negotiate letters of intent, definitive agreements, and ancillary transaction documents.
- Collaborate with cross-functional teams across the company.
- Manage outside counsel and coordinate legal support during the transaction process.
- Contribute to internal legal processes and best practices for M&A transactions.
- Assist and collaborate on other Corporate Legal matters.
