Requirements
- Hold a J.D. degree from an ABA-accredited law school.
- Have an active license to practice law and membership in good standing with a state bar association.
- Bring at least 8 years of corporate and transactional legal experience.
- Have significant exposure to large-scale M&A and IPO transactions in private practice, in-house environments, or both.
- Demonstrate experience advising businesses on complex transactions, governance, entity structures, equity, and securities matters.
- Bring healthcare industry experience, preferably supporting large or multi-site healthcare provider organizations.
- Demonstrate strategic thinking and sound legal judgment, translating complex legal issues into practical business recommendations.
- Have experience advising senior executives and influencing business decisions through written and verbal communication.
- Demonstrate organizational skills, attention to detail, and ability to manage multiple high-priority matters.
- Handle confidential and sensitive information effectively.
- Bring relationship-management and collaboration skills across legal, compliance, business, and executive teams.
- Have people leadership experience, including coaching, development, performance management, and team-building.
- Be proficient with Microsoft Word, PowerPoint, Outlook, and Excel.
- Be willing and able to travel up to approximately 25%.
Responsibilities
- Serve as lead corporate legal counsel and strategic business partner on corporate structure, entity management, board governance, M&A, debt, equity, and strategic liquidity transactions.
- Lead and oversee corporate attorneys and paralegals while working with compliance teams and business stakeholders to resolve complex legal matters.
- Advise senior leadership and business teams on corporate laws, securities regulations, governance requirements, and related legal obligations.
- Draft, review, negotiate, and oversee corporate agreements, transaction documents, filings, and equity documentation.
- Lead legal support for major corporate transactions, including complex M&A and equity-related activities.
- Oversee the drafting, negotiation, and issuance of equity grants and advise on related corporate and tax matters.
- Coordinate with external legal counsel and manage outside resources.
- Improve the legal function through policies, playbooks, training, and standardized processes.
- Coach and develop direct reports, manage performance, and support team collaboration and productivity.
