Requirements

  • Hold a J.D. degree.
  • Have active bar membership in at least one U.S. jurisdiction.
  • Have 5+ years of experience practicing as an M&A attorney in a top law firm, a relevant in-house legal environment, or a combination of both.
  • Demonstrate experience drafting, negotiating, structuring, and advising on mergers and acquisitions and other strategic transactions.
  • Have experience leading or supporting transactions from legal due diligence through closing.
  • Have experience coordinating and managing external counsel across multiple jurisdictions.
  • Understand transaction processes, legal risk assessment, deal structuring, negotiation, and post-closing integration considerations.
  • Provide commercially minded legal advice and translate complex legal issues into clear, actionable guidance for business leaders and cross-functional stakeholders.
  • Manage multiple transactions and priorities with project management, communication, collaboration, and stakeholder-management skills.
  • Have experience working with modern legal technology, including AI tools, and a willingness to use technology to improve efficiency, responsiveness, knowledge management, and client service.
  • Operate effectively in a fast-paced, global, collaborative environment and exercise sound independent judgment.

Responsibilities

  • Lead domestic and international acquisitions, divestitures, and other strategic corporate transactions through the full deal lifecycle.
  • Advise on transaction structuring, negotiation, signing, closing, and post-transaction integration.
  • Draft, review, and negotiate stock purchase agreements, asset purchase agreements, and ancillary transaction documents.
  • Lead legal due diligence and translate findings into risk assessments, recommendations, and mitigation strategies.
  • Coordinate with internal subject-matter experts on privacy, intellectual property, information security, product, employment, and other transaction-related risks.
  • Manage outside counsel across transactions and jurisdictions.
  • Coordinate post-transaction integration planning, including governance, contractual obligations, employee-related matters, and operational agreements.
  • Develop scalable M&A processes, playbooks, and best practices.
  • Monitor legal, regulatory, market, and transactional trends relevant to M&A.
  • Use legal technology and AI-enabled tools across the M&A lifecycle to improve diligence, efficiency, knowledge management, responsiveness, and cost effectiveness.
