Requirements
- Juris Doctor (JD) from an accredited U.S. law school.
- Active license to practice law in a U.S. state.
- 8+ years of legal experience focused on technology transactions.
- Experience combining top-tier law firm and in-house technology company settings.
- Strong working knowledge of IP licensing and complex technology agreements, including OEM, strategic alliance, and SaaS.
- Demonstrated ability to independently negotiate sophisticated agreements and manage complex transactions.
- Strong commercial judgment and business acumen.
- Excellent written and verbal communication skills.
- Practical experience using AI tools to improve legal workflows.
- Ability to collaborate across legal, commercial, product, engineering, finance, and corporate development teams.
Responsibilities
- Draft, review, negotiate, and execute complex strategic partnership agreements, including OEM, technology licensing, and technology alliance arrangements.
- Manage strategic deals from initial structuring through execution, supporting the Legal Director on the largest transactions.
- Negotiate and advise on intellectual property ownership, licensing scope, data rights, AI-related provisions, and technology rights.
- Partner with product and go-to-market teams to translate new commercial models into practical customer and partner terms.
- Support M&A activities by conducting commercial contract diligence, identifying material risks, and assisting with post-close integration.
- Provide business-focused legal advice to deal teams, identify material risks, and communicate clear recommendations.
- Develop templates, negotiation playbooks, and processes to enable the strategic deals function to scale effectively.
- Coordinate with cross-functional stakeholders including product, privacy, security, finance, and corporate development to align transaction positions.
