Requirements
- Juris Doctor (JD) degree from an ABA-accredited law school and active admission to a U.S. state bar in good standing.
- 2–4 years of professional experience in commercial, SaaS, technology transactions, or a closely related legal practice, gained in-house or at a law firm.
- Working knowledge of data privacy and protection regulations, particularly GDPR and CCPA, as well as software licensing models.
- Strong commercial judgment and the ability to understand the business rationale behind legal and contractual issues.
- Demonstrated ownership, accountability, and follow-through, with the ability to manage matters independently and close open issues efficiently.
- Excellent written and verbal communication skills, with the ability to provide clear, concise, and practical advice to business stakeholders.
- Strong organizational skills and attention to detail, particularly when managing multiple transactions and priorities in a fast-paced environment.
- Genuine curiosity about AI and enthusiasm for adopting AI-enabled legal technology and modern approaches to legal operations.
- Prior in-house experience in a high-growth technology environment is a plus.
- An undergraduate degree in business, computer science, or another technology-related discipline is advantageous.
- Experience with multi-state commercial contracts or vendor negotiations is beneficial.
- Proficiency in a second language such as French, German, Italian, Spanish, or Portuguese is a plus.
Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including SaaS subscriptions, software licenses, NDAs, data processing agreements, and vendor or supplier contracts.
- Support senior legal counsel with complex transactions, deal structuring, negotiations, and risk assessment.
- Partner with Sales, Procurement, Finance, Deal Desk, Product, Security, and other stakeholders to align agreements with commercial objectives and established risk frameworks.
- Support new product launches by developing and reviewing customer-facing terms, commercial documentation, and go-to-market agreements.
- Advise internal stakeholders on privacy and data protection matters, including requirements under GDPR, CCPA, and other applicable regulations.
- Provide practical, business-oriented legal guidance that enables teams to move quickly while managing commercial and regulatory risk.
- Improve contract templates, legal playbooks, processes, and workflows to increase efficiency and consistency.
- Help evaluate and implement AI-powered legal tools and automation opportunities as the legal function evolves.
- Collaborate with other members of the legal organization on broader business and strategic matters as opportunities arise.
