Requirements
- At least 10 years of experience as a contracts professional with significant focus on procurement agreements.
- At least three years of experience providing support in Partnership and Procurement Reviews.
- Strong drafting skills with the ability to achieve consistent language across agreements.
- Demonstrated organizational and analytical skills.
- Professional business judgment with the ability to maintain confidentiality.
- Interest in transactional law and the cybersecurity industry.
- Excellent written, verbal, and interpersonal communication skills.
- Proactive, attentive attitude toward daily tasks and long-term initiatives.
- Ability to adapt to change and prioritize as needed.
- 10% travel required.
Responsibilities
- Collaborate with procurement, IT, finance, and operations teams to develop and maintain standard contract templates, playbooks, and negotiation guidelines.
- Review, draft, redline, and negotiate procurement agreements, including SaaS subscriptions, professional services agreements, licensing agreements, SOWs, and MSAs.
- Handle contract negotiations for select major clients and assist executive leadership with strategic partnerships.
- Provide recommendations on policies and conduct legal review of proposals, RFP responses, and third-party risk assessments.
- Advise on data privacy, security, and compliance obligations such as GDPR and HIPAA.
- Manage the contract lifecycle including renewals, amendments, terminations, and close-out documentation.
- Provide training to colleagues on procurement processes, risk management, and compliance requirements.
