Requirements

  • 10+ years of corporate legal experience with direct ownership of M&A, equity financings, or strategic investment transactions.
  • Active US bar admission.
  • Juris Doctor (JD) degree from an accredited law school.
  • Prior in-house experience at a high-growth technology company is required.
  • Demonstrated ability to independently run complex transactions from structuring through execution.
  • Strong drafting and negotiation skills for M&A agreements, financing documents, and governance materials.
  • Proven ability to advise executive stakeholders and translate legal complexity into business decisions.
  • Experience building scalable legal systems including templates, workflows, and governance frameworks.
  • Strong fluency with AI tools and ability to design AI-assisted legal processes.
  • Pragmatic, execution-oriented mindset with strong judgment.

Responsibilities

  • Lead end-to-end execution of M&A transactions, strategic investments, and equity financings as primary deal counsel.
  • Design and implement scalable corporate governance frameworks, board processes, equity structures, and multi-entity compliance systems.
  • Develop AI-assisted legal workflows to accelerate due diligence and improve efficiency in corporate transactions.
  • Partner with executive leadership to provide strategic legal counsel on corporate matters.
  • Build and maintain legal infrastructure such as templates, playbooks, and self-service tools to reduce reliance on external counsel.
  • Oversee multi-entity global compliance obligations and implement systems to manage legal risk.
  • Collaborate with finance, product, and executive teams to support business growth and strategic initiatives.
