Requirements

  • 4–7 years in private equity, investment banking, transaction services, or corporate development at a sponsor-backed company
  • Demonstrated experience with complex transaction modeling and financial diligence
  • Advanced Excel modeling: three-statement, LBO, accretion/dilution, sources & uses
  • Strong grasp of GAAP
  • Strong grasp of adjusted EBITDA methodology
  • Strong grasp of quality-of-earnings concepts
  • Excellent written communication; able to translate analysis into executive-ready
  • Willingness to work overlapping US Eastern hours during active transaction phases
  • CFA preferred
  • Exposure to B2B SaaS or data services targets (Preferred)
  • Prior experience supporting US-based sponsors or sponsor-backed corporates (Preferred)

Responsibilities

  • Build and own valuation models including DCF, comparable company, precedent transactions, and LBO scenarios
  • Develop combined-entity P&L, balance sheet, and cashflow projections with appropriate normalization adjustments
  • Manage financial diligence workstreams, coordinate with external advisors, and synthesize findings
  • Partner with FP&A team on combined-entity P&L, balance sheet, and cash flow projections
  • Normalize EBITDA, identify one-time vs. recurring items, analyze working capital, and validate management adjustments
  • Model financing scenarios under various deal cases for capital structure analysis
  • Prepare materials for senior leadership review on strategic opportunities
  • Partner with FP&A team on integration performance tracking and reporting post-close
  • Support financing & stakeholder reporting requirements
