Requirements
- 15+ years of progressive M&A tax experience, transaction tax advisory, or tax due diligence.
- Deep technical expertise in complex corporate and flow-through tax structuring.
- Proven track record of leading complex, high-stakes transactions.
- Expertise in federal, state, and local tax due diligence, entity classification, partnership taxation, and nexus determinations.
- Extensive experience quantifying transaction-related tax risks and preparing detailed due diligence reports.
- JD/LLM in Taxation, CPA, or equivalent credential strongly preferred.
- Ability to communicate complex tax findings to PE deal professionals, CFOs, and legal counsel.
- Experience developing practice methodology, templates, and playbooks.
- Ability to manage concurrent transactions and navigate tight deal timelines.
- Demonstrated ability to mentor and develop team members.
Responsibilities
- Serve as the lead tax advisor on buy-side and sell-side transactions, identifying material tax risks and opportunities.
- Evaluate entity structures, intercompany arrangements, and historical filing positions to identify compliance gaps and post-close optimization.
- Analyze federal, state, and local tax (SALT), employment tax, sales/use tax, and unclaimed property exposures.
- Develop concise tax diligence reports that inform purchase price adjustments, escrow requirements, and indemnification provisions.
- Coordinate with financial due diligence teams, legal counsel, and valuation professionals to provide a cohesive deal picture.
- Build the tax diligence practice by developing methodology, templates, checklists, and intellectual capital.
