Requirements
- 5+ years of post-qualification experience in transactional legal, compliance, transaction services, or financial services.
- Experience in investment banks, Big Four advisory, private equity, or in-house legal teams.
- Strong familiarity with US and/or UK law-governed agreements in a cross-border context.
- Experience supporting or managing multi-party transaction execution and closing processes.
- Working knowledge of KYC/AML and regulatory compliance in financial transactions.
- Strong organizational and communication skills with the ability to manage multiple workstreams.
Responsibilities
- Draft, review, and negotiate legal documentation for secondary transactions and NAV lending, including NDAs, LOIs, and Purchase & Sale Agreements.
- Interpret fund documentation such as LPAs and offering materials to identify transferability guidelines and consent requirements.
- Manage global closing workflows by coordinating with buyers, sellers, fund managers, administrators, custodians, lenders, and compliance teams.
- Oversee KYC/AML onboarding processes, including identity verification and beneficial ownership reviews.
- Improve legal infrastructure by refining templates, playbooks, and standardized processes.
- Act as a trusted advisor to internal teams on legal requirements, transaction feasibility, and risk considerations.
