Requirements
- J.D. degree and active license to practice law in at least one U.S. state, in good standing.
- Minimum of 5 years of experience as a healthcare transactional attorney in a law firm and/or in-house environment.
- Strong knowledge of healthcare regulatory frameworks, including HIPAA, HITECH, Anti-Kickback Statute, Stark Law, and fraud, waste, and abuse regulations.
- Experience negotiating SaaS, data licensing, and technology-related commercial agreements.
- Prior exposure to Business Associate Agreements and healthcare data privacy/security matters is highly preferred.
- Strong drafting and negotiation skills, with the ability to create contracts from scratch and manage complex deal structures.
- Business-oriented mindset with the ability to balance legal risk and commercial objectives effectively.
- Strong interpersonal skills with the ability to build trusted relationships across internal and external stakeholders.
- Ability to work independently, prioritize effectively, and manage multiple deadlines in a fast-paced environment.
Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements, including SaaS contracts, licensing agreements, MSAs, SOWs, vendor agreements, and Business Associate Agreements.
- Provide legal guidance on contract interpretation, risk exposure, obligations, and dispute resolution in a clear, business-oriented manner.
- Support compliance with federal and state healthcare regulations, including privacy, security, and data protection requirements such as HIPAA and HITECH.
- Partner with cross-functional teams across sales, product, operations, and leadership to enable business growth while managing legal risk.
- Assist with legal aspects of financing, M&A transactions, due diligence, and related deal documentation.
- Manage and coordinate with external counsel when necessary to support specialized legal needs.
- Keep legal leadership informed on negotiation progress, contract status, and key legal risks across active deals.
