Job Details

Experience
5+ years negotiating and managing contracts at a biotech or pharmaceutical company, or at a law firm or CRO serving them, with most of your career in life sciences.

Requirements

  • Have 5+ years negotiating and managing contracts at a biotech or pharmaceutical company, or at a law firm or CRO serving them, with most of your career in life sciences.
  • Bring hands-on experience negotiating standard biotech agreements directly with counterparties, not only routing documents for others.
  • Demonstrate practical judgment closing agreements efficiently, protecting important terms, and resolving lower-stakes points without unnecessary back-and-forth.
  • Have experience administering a contract lifecycle management system, not just using one.
  • Have owned contract administration, including signatures, filing, and tracking.
  • Actively use AI tools at work and be interested in expanding that use.
  • Preferred: Ironclad Signature or DocuSign experience, public-company experience, experience building playbooks or a template library or leading a CLM implementation, exposure to clinical operations contracting, or broader legal operations experience.
  • A paralegal certificate or law degree is welcome but not required.

Responsibilities

  • Draft, redline, and negotiate agreements directly with counterparties, including CDAs, consulting agreements, MSAs and SOWs, vendor and CRO agreements, clinical trial agreements, CMC and supply agreements, and MTAs.
  • Apply playbooks with judgment, protect important intellectual property, confidentiality, and data terms, and escalate matters to the General Counsel when appropriate.
  • Own agreement timelines, keep requesters informed, and move agreements to signature efficiently.
  • Triage contract requests across the company and route matters as needed.
  • Build and maintain contract playbooks, including positions, fallbacks, review and approval responsibilities, and escalation guidance.
  • Route approvals, manage signatures, file executed agreements in Ironclad, and track renewals, expirations, and obligations.
  • Administer Ironclad workflows, templates, metadata, permissions, and user training.
  • Improve the contracting process and maintain the template library and playbooks.
  • Coordinate outside counsel and consultants on specialist questions, and use and improve AI tools.
  • Take on legal operations work such as vendor review, employee training, and process improvement as contract volume allows.
