  • J.D. from an accredited law school.
  • Admission to at least one U.S. state bar in good standing.
  • Typically 6+ years of relevant legal experience.
  • Substantial experience handling sophisticated commercial transactions.
  • Expertise in drafting and negotiating complex commercial agreements and allocating risk.
  • Proven ability to manage transactions independently.
  • Experience advising organizations on regulatory, compliance, or industry-specific legal matters.
  • Strong understanding of contract law and commercial risk allocation.
  • Excellent negotiation and analytical problem-solving skills.
  • Ability to collaborate with senior executives and cross-functional teams.

Responsibilities

  • Draft, review, negotiate, and manage a broad portfolio of complex commercial agreements including MSAs, procurement, SaaS, and technology contracts.
  • Lead negotiations for high-value transactions in partnership with cross-functional leadership.
  • Provide practical, solutions-oriented legal advice to identify and mitigate commercial and legal risks.
  • Advise on federal, state, and local regulatory requirements, including trade, customs, and government incentive programs.
  • Develop and maintain contract templates, negotiation playbooks, and legal operational processes.
  • Collaborate with compliance, privacy, and security teams on regulatory programs and internal controls.
