- Admission to at least one U.S. state bar in good standing.
- Typically 6+ years of relevant legal experience.
- Substantial experience handling sophisticated commercial transactions.
- Expertise in drafting and negotiating complex commercial agreements and allocating risk.
- Proven ability to manage transactions independently.
- Experience advising organizations on regulatory, compliance, or industry-specific legal matters.
- Strong understanding of contract law and commercial risk allocation.
- Excellent negotiation and analytical problem-solving skills.
- Ability to collaborate with senior executives and cross-functional teams.
Responsibilities
- Draft, review, negotiate, and manage a broad portfolio of complex commercial agreements including MSAs, procurement, SaaS, and technology contracts.
- Lead negotiations for high-value transactions in partnership with cross-functional leadership.
- Provide practical, solutions-oriented legal advice to identify and mitigate commercial and legal risks.
- Advise on federal, state, and local regulatory requirements, including trade, customs, and government incentive programs.
- Develop and maintain contract templates, negotiation playbooks, and legal operational processes.
- Collaborate with compliance, privacy, and security teams on regulatory programs and internal controls.
