Requirements
- Juris Doctor (JD) from an accredited law school
- Active attorney license in good standing
- 5+ years of corporate or commercial experience, with focus on commercial agreements and general corporate work for private companies
- Training at a Big Law firm, elite boutique, or high-quality in-house/outside GC environment
- Deep comfort drafting and negotiating commercial contracts
- Solid grounding in corporate and equity matters, including formations, governance, and cap table work
- Ability to own matters and manage client relationships directly
- Business-first mindset: practical, fast moving, and solution-oriented
- Experience with early-stage or growth-stage business legal needs
Responsibilities
- Serve as outside general counsel for a portfolio of clients, handling day-to-day commercial, corporate, and general business matters
- Draft, review, and negotiate a wide range of commercial agreements, including MSAs, SOWs, NDAs, SaaS and technology licensing agreements
- Prepare, update, and negotiate online and product-related terms, including privacy policies and terms of service
- Advise on startup and small business structuring, including formations, equity splits, IP assignments, and cap table planning
- Advise on corporate governance and equity matters, including stock plans, issuances, and investor onboarding
- Handle equity and ownership matters for corporations and LLCs, including transfers, buybacks, and redemptions
- Help refine templates, playbooks, and workflows to improve practice efficiency
