Requirements:

• LLB (or equivalent) from a recognized law school.
• Licensed attorney in Israel and a member of the Israel Bar Association.
• 4-5 years of experience in securities and capital markets law.
• Proven expertise in advising on IPOs, private placements, capital markets deals, and securities compliance.
• Strong skills in drafting and negotiating contracts.
• Experience supporting corporate clients, investment funds, or financial institutions.

Responsibilities:

• Draft SEC filings and correspondence, ensuring compliance with the Exchange Act.
• Collaborate with issuers, underwriters, and regulators on IPOs, SEC-registered follow-on offerings, and private/exempt offerings.
• Oversee compliance with NYSE, NASDAQ, and OTC requirements for public companies.
• Manage Exchange Act reporting and compliance, including: Tender offer statements, Proxy statements and proxy contests, Current reports, Insider filings, Annual and quarterly reports, Exchange Act registration statements, Information statements.
