Requirements:
  • Law degree; from a nationally accredited U.S. law school preferred.
  • 2-5 years’ legal, corporate and operations experience in financial services/real estate/mortgage banking throughout the U.S.
  • Demonstrated experience with and working knowledge of U.S. federal and state commercial and mortgage lending laws, rules and regulations, and licensing requirements.
  • Excellent command of the English language (both written and verbal).

Responsibilities:
  • Provide advice, guidance, and support in connection with corporate transactions.
  • Prepare and review agreements between affiliates.
  • Maintain a best practices corporate governance environment and protocol.
  • Organize board meetings and draft minutes.
  • Draft operating agreements, articles of incorporation, agreements, and other corporate documents.
  • Ensure compliance with corporate policies, regulatory requirements, and industry standards.
  • Support M&A activities, including due diligence and post-closing integration.
  • Assist in the development and implementation of corporate policies and procedures.
  • Perform other projects and duties as assigned.
