Requirements:
  • 5+ years of applicable experience as a paralegal in corporate, securities and/or M&A practice areas
  • Demonstrated knowledge of private company governance requirements, organizational documents, and corporate entity structures
  • Experience and familiarity with equity program administration, preferably using Carta software
  • Excellent written and verbal communication skills
  • Exceptional organizational skills and attention to detail
  • Proficiency in Microsoft Office suite or Google suite
  • Ability to analyze, summarize, and synthesize data and create reports
Responsibilities:
  • Support board and committee meetings
  • Maintain accurate corporate records
  • Manage corporate obligations of domestic and international subsidiaries
  • Serve as a key administrator for the equity program using Carta software
  • Collaborate with cross-functional teams to ensure accurate documentation and financial reporting of equity grants and transactions
  • Assist in the review and maintenance of equity-related agreements and documentation
  • Assist in communication of equity program details
  • Monitor and track applicable regulatory requirements
  • Support internal and external audits and due diligence processes
  • Liaise with internal and external stakeholders
  • Collaborate with legal leadership, corporate counsel, HR and finance teams on special projects
  • Implement and maintain efficient document and records management policies and procedures
