Requirements:
  • Licensed to practice law in the United States
  • Graduated from an accredited law school
  • At least 10 years of experience as an attorney
  • Experience in pharmaceutical company, clinical research organization, or related industry as in-house counsel
  • Required experience in a clinical research environment, preferred hybrid clinical research experience
  • Requisite combination of education, training, and experience
  • Led a corporate legal function
  • Worked in a regulated industry
  • Managed complex transactions and litigation
  • Skilled in all legal practice areas to identify risk, with particular emphasis on contracts, employment, corporate governance, and corporate transactions
Responsibilities:
  • Leading the development of best practice in the areas of corporate compliance
  • Preparing documents for Board of Directors meetings and ensuring compliance with corporate law and internal governance
  • Engaging in risk mitigation practices to avoid disputes and litigation
  • Reviewing current practices in high-risk areas that could result in controversy
  • Handling all aspects of litigation, arbitration, and government investigations to minimize financial, customer, and reputational impact to Lightship
  • Developing standard form agreements and fallback positions for use in key negotiations
  • Empowering Lightship executives to utilize standard forms without legal review
  • Ensuring that signed agreements and forms are accessible for use and review
  • Assisting with due diligence and including protective provisions in closing documents to protect Lightship’s interests
  • Drafting closing documents, covenants, indemnities, and other provisions according to best practice
  • Utilizing the most skilled and efficient outside legal advisors
  • Reviewing outside counsel work to ensure high quality and accurate advice, suitable for the stages of Lightship’s growth
  • Auditing legal bills and expenses for reasonableness and accuracy
  • Handling all complex commercial transactions based on legal knowledge and risk / benefit
  • Negotiating terms and conditions protective of Lightship’s assets
  • Developing standard practice and training junior members of the team
  • Working in collaboration with other Lightship stakeholders to understand priorities
