Requirements:
  • J.D.
  • 4-7 years of legal experience in a law firm and/or in-house experience.
  • Expertise in transactional work streams, specifically M&A, finance, and/or private funds.
  • Strong experience with complex transactions and innovative structures.
  • Strong communication skills.
  • Exceptional organization and detail-oriented mindset.
  • Ability to multi-task, manage various projects, meet deadlines, and work independently.
Responsibilities:
  • Work closely with the investments team to structure and close transactions and negotiate, draft and manage related loan or investment documentation in various asset classes.
  • Negotiate, draft and manage participation and asset purchase agreements, loan purchase agreements, joint venture agreements, and loan facility documentation.
  • Negotiate, draft and manage private placement memoranda, subscription agreements, operating agreements, limited partnership agreements and side letters for newly-created funds.
  • Work closely with the portfolio risk management team on issues relating to defaulted or troubled deals, including restructurings and foreclosures.
  • Develop expertise in Yieldstreet’s offering vehicles and structures.
  • Manage compliance with legal requirements of warehouse and leverage facilities.
  • Attend to corporate governance documents for Yieldstreet and its affiliates.
