  • J.D. from an accredited law school
  • Minimum 6-8 years of practicing experience, ideally with a mix of law firm (corporate) and in-house startup experience.
  • Experience forming and counseling early-stage companies and advising on startup-related legal issues.
  • Experience with venture financing transactions, cap tables, corporate governance, and executive compensation.
  • Strong commercial contract drafting, negotiating, and issue-spotting skills.
  • Experience with healthtech regulatory matters is a plus, connectivity or experience advising PE firms is also a plus.

  • Advise portfolio companies on formation and organizational matters, corporate governance, early-stage labor & employment matters, product development.
  • Structure, negotiate and execute venture financing transactions and other investment transactions.
  • Review and negotiate commercial contracts, including vendor agreements, design partnership agreements, SaaS agreements, engagement letters, and NDAs.
  • Assist in implementing processes to scale with the growth of the company and its affiliates.
  • Work collaboratively with senior management and corporate functions, including Finance and HR.
